Terms & Conditions

NOTE: For website creation read these terms and conditions in conjunction with Mutual Agreement contained in the proposal.

HOURLY FEE: All work, unless otherwise stated is charged at an hourly rate of £60 p/hr. There is a minimum artwork fee of £35 to cover very small artwork jobs and administration time. Ongoing projects will be billed at the end of each month.

ACCOUNT BALANCE: Unless otherwise agreed the account balance is payable on completion, i.e. artwork signed off and sent to print or websites going live.  After that date any outstanding balance will incur interest of 8% per week.

DEPOSIT: At our discretion, we may apply a deposit of up to 50% prior to work commencing.

CORRESPONDENCE: At our discretion, correspondence will be charged at the hourly rate of £60 p/hr.

TRAVEL: Mileage is charged at 75p per mile.

ADMINISTRATION FEE:  Where any goods, software, products or services need to be purchased in order to complete any required works, a 25% administration fee will be charged.

ESTIMATES & PROPOSALS: Estimated prices may not include delivery costs and are valid for 30 days. An Estimate is an approximate guide, timed hours maybe more or less than stated in the provided Estimate.

BOTH PARTIES AGREE TO: As our customer, you have the power and ability to enter into this contract on behalf of your company or organisation. You agree to provide us with everything that we’ll need to complete the project – including text, images and other information – as and when we need it and in the format we ask for. You agree to review our work, provide feedback and approval in a timely manner too. Deadlines work two ways and you’ll also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract.

We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavour to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we’ll also maintain the confidentiality of any information that you give us.

NEWSLETTERS & OFFERS: By signing up for a digiDen account you agree to subscribe to our newsletters that contain important information, offers, news and blog posts. You can unsubscribe at any time but you may miss vital customer information.

WEBSITE CREATION & ADDITIONAL WEB WORK: This service does not include House Styling/Branding, Website Hosting, Email Accounts or Domain Names. Pages will be ‘Search Engine Optimised’ (SEO) with best use of provided text. Premium plugins are charged annually. Once a website is complete and has gone live, the administration of the site’s content and settings are the responsibility of the customer. If settings are changed that create problems, support work to rectify the problem will be charged at the standard hourly rate. This can be covered by choosing a higher level of website hosting. The websites we produce support all modern web browsers including (but not limited to) Firefox, Safari, Chrome (all on PC & Mac) & Internet Explorer 8 & 9. Internet Explorer 7 takes too many resources to support these days as all of our new themes use CSS3 and HTML5. According to this chart - - it just isn’t worth it.

We can’t guarantee that the functions contained in any web page templates or in a completed website will always be error-free and so we can’t be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages, even if you have advised us of the possibilities of such damages.

External Programme and Application support: We do not offer any support or technical advice for any external applications including Facebook, Twitter and Mailchimp. We can assist in the set up of profiles or pages initially but any questions or support regarding technical issues must be referred back to the provider.

SEO (Search Engine Optimisation): digiDen cannot guarantee any sort of page ranking with any of the search engines.

WEBCARE PLANS: All WebCare plans keep websites up to date within a 30 day period. Updates to plugins, themes and framework may cause slight changes in appearance due to extra functionality. If the new features are requested to be removed this will be charged at the standard hourly rate. If you decide to move to a new web host at whatever point we can supply a back-up to give to your new host, we would not be responsible for installing the website on the new server; we can also no longer be responsible for the update of any premium plugins or themes unless arranged. Any website security is a prevention and cannot be guaranteed. Work of any kind unless specified in your hosting plan will be chargeable at the standard hourly rate.

As part of the WebCare packages we offer coaching calls to assist clients with the management of their website(s). It is the client's responsibility to book in the coaching calls using the booking system provided. Depending on the terms of the client's package the length and number of calls per month will vary but in all cases the length and number stated must be used within each 1 month period, running from the 1st to month end, and cannot be rolled-over or stock piled to be taken altogether.

It is the client's responsibility to inform digiDen, via Support, if any of the forms attaching to their website are not working as expected. digiDen will aim to resolve the problem within 2 working days though this is not guaranteed as it will depend on the severity of the issue.

ONLINE HOSTING PAYMENTS: GoCardless accesses the Direct Debit network through its sponsor, the Royal Bank of Scotland, and is registered as a small Payments Institution with the Financial Services Authority. All of our server transmissions are secured with SSL, and data is protected using military grade encryption. Funds are held in ring-fenced accounts and are registered with the FSA. EMAIL ACCOUNTS & DOMAIN NAMES: digiDen is not responsible for customers setting-up their email clients. All the necessary details will be supplied along with a link to log-on to webmail through a web browser. This is because there are numerous different email clients that work in different ways. Domain names will automatically be renewed unless canceled by the customer 30 days prior to the renewal date; this will be the date that your project originally began.

DAILY BACK-UPS: Automatic daily back-ups are made at night and we cannot guarantee getting back any content lost through a fault of yours or ours for the last 7 days or at all if there has been a Malware attack. These back-ups are stored daily for up to 30 days.

SUPPLYING CONTENT: Please carefully CHECK the content you send, as spelling and punctuation errors can only be changed at a charge of £60 p/hr. Likewise, if you change your mind about what you say, these changes will also incur an hourly rate of £60. For websites, once your site is complete you can, of course, make your own editorial changes.

PHOTOGRAPHS: You will supply us with photographs in digital format. If you choose to buy stock photographs we can suggest vendors of stock photography. Any time we spend searching for appropriate photographs will be charged at our standard hourly rate. Stock images will be chargeable and not included in this proposal.

COPYRIGHTS: You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the website are either owned by your good selves or that you have permission to use them.

When we receive your final payment, copyright is automatically assigned as follows:

  • You own the graphics and other visual elements that we create for you for this project. We’ll give you a copy of the website and its database and you should store them really safely as we are not required to keep them or provide any native source files we used to make them.
  • You also own text content, photographs and other data you provided, unless someone else owns them. We own the licenses of premium plugins and themes, the markup, CSS and other code and we license it to you for use on only this project.
  • We love to show off our work and share what we have learned with other people, so we reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles and in books about web design.

PRINT PROOF APPROVAL: Before anything goes to print, the proof must be approved by the customer using the supplied email and stating ‘APPROVED’
